Agreement to our legal terms
We are LandlordSorted ("Company", "we", "us", or "our").
We operate the website https://www.landlordsorted.co.uk (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").
LandlordSorted is a Making Tax Digital for Income Tax web application built specifically for UK landlords. It enables landlords to log rental income and allowable expenses, review quarterly figures, and submit quarterly updates to HMRC via the MTD ITSA APIs where that functionality is available.

These Legal Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and LandlordSorted, concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you must not use the Services and must stop using them immediately.
Supplemental terms or documents posted on the Services from time to time are incorporated by reference. We may change these Legal Terms; we will indicate changes by updating the "Last updated" date. You waive any right to receive separate notice of each change. You are responsible for reviewing these Legal Terms periodically. Continued use after revised terms are posted constitutes acceptance of the revised terms, subject to any rights you cannot waive under applicable law.
The Services are intended for users who are at least 18 years old. Persons under 18 may not use or register for the Services.
We recommend that you keep a copy of these Legal Terms for your records.

LandlordSorted is software to help you organise and submit information. It is not accounting, tax, or legal advice. You remain responsible for the accuracy of your figures, deadlines, and compliance with HMRC and other applicable rules. Consult a qualified adviser when unsure.

1. Our services
Information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or would subject us to registration requirements there. If you access the Services from other locations, you do so on your own initiative and are responsible for compliance with local laws where they apply.
2. Intellectual property rights
Our intellectual property
We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright, trademark, and other laws and treaties. The Content and Marks are provided "AS IS" for your personal, non-commercial use or your internal business purposes relating to your own landlord affairs.
Your use of our services
Subject to your compliance with these Legal Terms, including the Prohibited activities section, we grant you a non-exclusive, non-transferable, revocable licence to access the Services and to download or print a copy of any portion of the Content you have properly accessed, solely for those permitted purposes.
Except as set out in these Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written permission. If we allow you to post, reproduce, or display any part of our Services or Content, you must identify us as owners or licensors and keep any copyright or proprietary notices visible.
We reserve all rights not expressly granted. Any material breach of these intellectual property provisions may terminate your right to use the Services immediately.
Your submissions
Review this section and Prohibited activities before using the Services.
Submissions: By sending us questions, comments, suggestions, ideas, feedback, or other information about the Services ("Submissions"), you agree that we may own and use those Submissions without restriction for any lawful purpose, commercial or otherwise, without obligation to account to you, except where applicable law prevents that.
You are responsible for what you send: By sending Submissions through the Services you confirm that you have read and will comply with the Prohibited activities section; that you will not post or transmit illegal, harassing, harmful, defamatory, obscene, abusive, discriminatory, threatening, sexually explicit, false, inaccurate, or misleading material; where the law allows, you waive moral rights in such Submissions; you warrant you have the necessary rights and licences to submit them and that they are not confidential; and you agree to reimburse us for losses we suffer due to breach of this section, third-party intellectual property rights, or applicable law.
3. User representations
By using the Services, you represent and warrant that:
- registration information you submit is true, accurate, current, and complete;
- you will maintain that information and promptly update it as necessary;
- you have legal capacity and agree to comply with these Legal Terms;
- you are not a minor in the jurisdiction where you reside;
- you will not access the Services through automated or non-human means (such as bots or scripts) except as we expressly permit;
- you will not use the Services for any illegal or unauthorised purpose; and
- your use will not violate any applicable law or regulation.
If you provide information that is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your account and refuse current or future use of the Services.
4. User registration
You may need to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account and password. We may remove, reclaim, or change a username we consider inappropriate, obscene, or otherwise objectionable.
5. Purchases and payment
We accept forms of payment as shown at checkout (for example major card brands processed by Stripe).
You agree to provide current, complete, and accurate purchase and account information and to update it promptly so we can complete transactions and contact you. Taxes (such as VAT) may be added where required. We may change prices. Unless otherwise stated at checkout, amounts are in GBP (pounds sterling).
You authorise us to charge your chosen payment provider for purchases at the prices in effect when you place an order. We may correct pricing errors even after payment has been requested or received. We may refuse or limit orders, including per person, household, or payment method, where we reasonably suspect fraud, resale, or abuse.
6. Subscriptions
Billing and renewal
Paid subscriptions renew as described at purchase (for example on an annual cycle) unless cancelled in line with these terms and the checkout or billing portal. You consent to recurring charges to your payment method until you cancel as permitted.
Cancellation
Refund rights depend on what was stated at purchase and on mandatory UK consumer law where it applies. Where we state that certain fees are non-refundable, that is subject to any stricter rights you cannot contract out of. You may cancel your subscription in accordance with the account or Stripe customer portal options we provide. Cancellation typically takes effect at the end of the current paid period unless we say otherwise. Questions: support@landlordsorted.co.uk.
Fee changes
We may change subscription fees and will communicate changes as required by applicable law.
7. Prohibited activities
You may not use the Services for any purpose other than that for which we make them available. Except for your own bona fide use as a landlord or tax filer, you must not use the Services in connection with commercial endeavours we have not approved (such as scraping, reselling access, or building a competing product on our platform).
As a user, you agree not to:
- systematically retrieve data or content to create a database or directory without our written permission;
- trick, defraud, or mislead us or other users, including to obtain account credentials;
- circumvent, disable, or interfere with security-related features;
- disparage or harm us or the Services;
- use information from the Services to harass, abuse, or harm another person;
- misuse support channels or submit false abuse reports;
- use the Services in a manner inconsistent with applicable laws or regulations;
- frame or link to the Services without authorisation;
- upload or transmit viruses, excessive posting, or anything that interferes with others' use or the operation of the Services;
- use automated means (e.g. scripts, scrapers) except as we expressly allow;
- remove proprietary notices from Content;
- impersonate another user or person;
- use hidden pixels, cookies, or similar mechanisms on our Services without permission to collect information from users;
- interfere with networks or services connected to the Services;
- harass or threaten our employees or agents;
- attempt to bypass access restrictions;
- copy or adapt our software except as permitted by law;
- reverse engineer or decompile except as permitted by law;
- use unauthorised spiders, scrapers, or offline readers on the Services;
- use a buying agent in breach of our rules;
- use the Services to advertise or offer goods or services unrelated to normal use of the product without our consent;
- sell or transfer your account to another party;
- use the Services to compete with us or exploit the Services or Content for unrelated revenue-generating activity.
8. User generated contributions
Features may let you upload or send materials (for example files, messages, or feedback) ("Contributions"). Where Contributions are visible to others, that will be clear in the product. By making Contributions you represent and warrant that: they do not infringe third-party rights; you have necessary licences and consents; identifiable individuals have consented where required; they are not false, misleading, unsolicited advertising, spam, obscene, violent, harassing, defamatory, or otherwise unlawful; they do not ridicule or threaten others; they comply with privacy and publicity rights and laws protecting minors; and they do not violate these Legal Terms. Breach may result in suspension or termination.
9. Contribution licence
We may access, store, process, and use information and personal data you provide in line with our Privacy policy and your choices. Feedback you provide may be used without obligation to pay you. Unless otherwise agreed in writing, you retain ownership of your Contributions and associated IP; you are responsible for their accuracy and legality. You agree not to bring claims against us regarding Contributions except where the law does not allow that exclusion.
10. Services management
We reserve the right (but have no obligation) to monitor for violations; take legal action; refuse, restrict, or disable access to Contributions or the Services; remove burdensome files or content; and manage the Services to protect our rights, users, and operations.
11. Privacy policy
We care about data privacy and security. Please review our Privacy policy: https://www.landlordsorted.co.uk/privacy. By using the Services you agree to the Privacy policy, which is part of these Legal Terms. The Services are operated from the United Kingdom. If you access the Services from regions with different data rules, your continued use may involve transfer and processing in the UK as described in the Privacy policy.

12. Term and termination
These Legal Terms remain in effect while you use the Services. We may deny access, suspend, or terminate your account and delete content, without prior notice, for breach of these terms or applicable law, or for other reasons stated here. If your account is terminated, you must not create a new account to circumvent that decision. We may pursue legal remedies.
13. Modifications and interruptions
We may change, modify, or remove contents of the Services at any time without notice. We are not obliged to update information on the Services. We are not liable for modification, price change, suspension, or discontinuance. The Services may be unavailable during maintenance or for other reasons. You agree we are not liable for loss due to downtime, subject to non-excludable law.
14. Governing law
These Legal Terms are governed by the laws of England and Wales, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer habitually resident in the EU or UK, mandatory protections of your country of residence may also apply. You and we submit to the non-exclusive jurisdiction of the courts of England and Wales, except that consumers may also bring claims in their country of residence where the law requires.
15. Dispute resolution
Informal negotiations
For any dispute related to these Legal Terms ("Dispute"), the parties will attempt to resolve it informally for at least thirty (30) days after written notice from one party to the other before starting arbitration or court proceedings (except where urgent injunctive relief is needed).
Binding arbitration
If a Dispute is not resolved informally, it shall be determined by one arbitrator chosen in accordance with the Arbitration and Internal Rules of the European Court of Arbitration (European Centre of Arbitration), as in force when the request for arbitration is filed. The seat of arbitration shall be London, United Kingdom. The language of the proceedings shall be English. Substantive law shall be the law of England and Wales. If you are a consumer, mandatory consumer protections (including the right to bring proceedings in your home courts where applicable law requires) are not excluded.
Restrictions
Arbitration is limited to the Dispute between you and us individually. To the extent permitted by law, there is no class arbitration or class action; there is no representative action for the public.
Exceptions
The following are not subject to the informal negotiation / arbitration process above: disputes to enforce or protect intellectual property rights; disputes concerning theft, piracy, privacy, or unauthorised use; and claims for injunctive relief. If any part of this dispute section is unlawful or unenforceable, that part is severed and the remainder continues; disputes may then be brought in a court of competent jurisdiction.
16. Corrections
Information on the Services may contain errors or omissions. We may correct them and change or update information at any time without prior notice.
17. Disclaimer
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant accuracy or completeness of content, uninterrupted operation, or freedom from viruses or harmful components. We are not responsible for third-party products, services, or advertisements linked from the Services. You use the Services at your own risk and should exercise judgment.
18. Limitations of liability
To the fullest extent permitted by law, we and our directors, employees, and agents will not be liable for indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data, arising from your use of the Services, even if we were advised of the possibility. Our total liability for any cause and regardless of the form of action is limited to the amount you paid us in fees in the six (6) months before the claim arose, or £100 if you only used a free tier, except where liability cannot be limited under applicable law (including death or personal injury caused by negligence, or fraud). Certain jurisdictions do not allow some of the above exclusions; in that case they apply only to the maximum extent permitted.
19. Indemnification
You agree to defend, indemnify, and hold harmless LandlordSorted, our affiliates, and our respective officers, agents, partners, and employees from claims, damages, liabilities, losses, and reasonable legal fees arising out of: your use of the Services; breach of these Legal Terms; breach of your representations; violation of third-party rights; or harmful conduct toward other users. We may assume exclusive defence and control of any matter subject to indemnification at your expense; you agree to cooperate. We will use reasonable efforts to notify you of such a claim.
20. User data
We will maintain data you transmit for the purpose of operating the Services. Although we take backups seriously, you are responsible for your own data and activity. We are not liable for loss or corruption of your data to the extent the law allows, and you waive claims against us arising solely from such loss or corruption except where waiver is not permitted.
21. Electronic communications, transactions, and signatures
Visiting the Services, emailing us, and using online forms constitute electronic communications. You consent to receive communications electronically and agree that agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing. You agree to electronic signatures, contracts, orders, records, and delivery of notices and policies electronically, and waive any requirement for non-electronic records or signatures where the law permits.
22. Miscellaneous
These Legal Terms and policies posted on the Services constitute the entire agreement. Failure to enforce a provision is not a waiver. If any provision is unlawful or unenforceable, the remainder stays in effect. We may assign our rights and obligations. We are not liable for failures beyond our reasonable control. No joint venture, partnership, employment, or agency is created. These Legal Terms are not construed against the drafter. You waive defences based on electronic form or lack of wet signatures where permitted.
